Welcome to the PartnerShare platform service.

As the developer and owner of the leading partner marketing management platform, PartnerShare (hereinafter referred to as “we,” “the Platform,” or “PartnerShare Platform”), we provide B2B SaaS brand owners with innovative and efficient partner management solutions, including promotional marketplaces and automated payment transaction systems, to support the execution of diverse marketing channel programs. We possess full rights to this platform, including the right to update, modify, and maintain the server-side programs, client-side applications, and online operational technologies.

Please read this Agreement carefully. By selecting “I Accept,” “I Agree,” “Confirm,” “Continue,” “Yes,” or by installing, using, or authorizing the use of this software in any way, you indicate that you have fully understood and accepted the terms of this Agreement. Please review all provisions carefully, especially those that disclaim or limit liability, which may be highlighted in bold for your attention. If you do not agree to these terms and conditions, do not click “I Accept,” “I Agree,” “Confirm,” “Continue,” or “Yes,” or install or use this software in any way.

You legally agree to be bound by these rules (“Terms”). You also agree to our Privacy Policy, Cookie Policy, and Payment Verification Policy, and you acknowledge your responsibility to comply with applicable local laws. The PartnerShare Privacy Policy, Payment Policy, and other related policies are incorporated herein by reference and form part of this Agreement. We may modify these Terms from time to time. If we do, we will notify you of any significant changes through our website or via email. The new version of these Terms will never apply retroactively, and we will inform you of the exact effective date of the new Terms. Continued use of PartnerShare after such changes constitutes your acceptance of the new Terms. We reserve all rights not expressly granted under this Agreement, including but not limited to all system-related rights.

Violation of any of the following terms will result in termination of your account. You agree to use the PartnerShare software at your own risk.

1. Contracting Parties with PartnerShare

If you choose to settle in RMB, this Agreement is concluded between Guangzhou Biaopin Technology Innovation Co., Ltd. and you. You must be a citizen of the People’s Republic of China (“Mainland China”) or a legal entity duly registered in Mainland China to register and enter into this Agreement on the PartnerShare platform.

If you choose to settle in USD or any other currency other than RMB, this Agreement is concluded between SAASBASE PTE. LTD. and you. You must be a citizen or a legal entity duly established outside of Mainland China to register and enter into this Agreement on the PartnerShare platform.

The settlement currency you select during registration will remain effective throughout the term of this Agreement and cannot be changed without PartnerShare’s written consent.

2. Account Terms

If you are an individual, you must be at least 18 years old to register a PartnerShare account, or of sufficient legal age in your jurisdiction to enter into a binding agreement. If you are under 18, you may not use the PartnerShare software without the consent of your parent or guardian.

If you are a corporation or other legal entity, you must be duly organized, legally existing, and in good standing under the laws of your jurisdiction. You must have duly authorized your representative to execute this Agreement on your behalf.

You represent and warrant that: (1) you possess all necessary qualifications, permits, or certifications required to operate your business, or have completed necessary filings or approvals according to law; (2) you will not use PartnerShare’s services to engage in any activities that endanger national security, disrupt social order, or infringe upon others’ legal rights; and (3) your business activities do not violate any applicable laws, regulations, policies, or public morals, and do not infringe upon the lawful rights of any third party.

You must register to use PartnerShare by creating an account and setting a password. Your information will be collected and disclosed in accordance with applicable data protection laws and our Privacy Policy. All users must provide true and accurate information when registering. Do not use invalid or third-party email addresses, as this may compromise your account security.

We reserve the right to verify all user information and refuse service to any user. You are responsible for all activities under your account and for maintaining the confidentiality of your password. You agree to immediately notify us of any unauthorized use of your account or any security breach. PartnerShare is not liable for any loss arising from unauthorized use of your account, whether with or without your knowledge. If someone uses your account without permission, report it to support@PartnerShare.cn.

You may not use PartnerShare software for any illegal or unauthorized purposes. You must comply with all laws applicable to your jurisdiction while using the software.

3. Prohibited Conduct

You shall comply with all applicable laws and regulations and shall not use PartnerShare’s services or accounts to engage in, or facilitate, any of the following acts:

  • (1) Acts that endanger national security, disclose state secrets, subvert state power, or undermine national unity, honor, or interests;
  • (2) Promoting cults or feudal superstitions;
  • (3) Spreading rumors, disturbing public order, or undermining social stability;
  • (4) Disseminating obscene, pornographic, gambling, violent, murderous, terror-related, harassing, vulgar, or criminally inciting content;
  • (5) Insulting or defaming others, infringing upon the lawful rights and interests of others;
  • (6) Infringing on others’ intellectual property, trade secrets, or other lawful rights;
  • (7) Fabricating facts or concealing the truth to mislead or defraud others;
  • (8) Engaging in illegal online gambling or betting activities;
  • (9) Any other conduct that violates public order, good morals, or laws and regulations.

You agree not to use any software or device (manual or automated) to “crawl” or “spider” any part of PartnerShare, nor to decompile or reverse-engineer any of its content.

You understand and agree that if you engage in any prohibited conduct under this Agreement or use PartnerShare’s services for illegal or unauthorized purposes, PartnerShare has the right to take enforcement actions, including reporting to relevant authorities, suspending your account, or pursuing legal action. You shall bear all resulting legal liabilities.

You agree to indemnify and hold PartnerShare harmless from any claims, demands, or losses arising from your violation of this Agreement or applicable service terms. If PartnerShare incurs liability due to your actions, you shall fully compensate PartnerShare. If PartnerShare pays damages pursuant to an effective judgment, PartnerShare reserves the right of full recourse against you.

You acknowledge that your use of PartnerShare services is based on legitimate, lawful, and valid transactions. If evidence indicates that your transactions are false or unlawful, PartnerShare reserves the right to refuse service.

You also agree to use PartnerShare services lawfully and reasonably, ensuring all funds originate from legitimate sources. You must not use PartnerShare’s services for money laundering, identity theft, illegal foreign exchange, or financial fraud.

4. Fees

Please refer to our Payment Policy page for current pricing and promotions. Some PartnerShare features are free, while others require payment. By agreeing to our Payment Policy and subscribing to paid features, you agree to pay the applicable fees. Prices for all services are subject to change.

We reserve the right to modify or discontinue services (in whole or in part) at any time without notice. PartnerShare assumes no responsibility to you or any third party for any modifications, price changes, suspensions, or terminations.

If PartnerShare pays rewards to your designated partners on your behalf, such payment obligations arise only after PartnerShare has successfully received corresponding funds from you. PartnerShare is only liable to pay within the amount received. If PartnerShare has not received your full payment, it is under no obligation to pay any reward to your partners.

5. No Refunds

PartnerShare provides prepaid subscription plans. During the subscription term, no refunds will be issued for any paid services, including unused balance amounts.

6. Terms and Termination

This Agreement becomes effective upon your acceptance and remains valid indefinitely until terminated by either party. PartnerShare reserves the right to suspend or terminate your account at any time for any reason permitted under this Agreement or by law. Termination may result in the deactivation or deletion of your account and forfeiture of all associated content. PartnerShare reserves the right to refuse service to anyone at any time.

We may, at our discretion, restrict, suspend, or terminate your access to our services, particularly if you violate the Agreement, applicable law, or pose harm or potential legal risk to us, our users, or others. Upon termination, your right to use the services immediately ceases. You may terminate your account by ceasing use of the service.

We may also partially restrict your use of services, including revoking access to technical support, especially in cases of misuse.

7. Intellectual Property

All content, designs, text, graphics, images, logos, buttons, icons, interfaces, audio, video, and their arrangement within PartnerShare’s software or products are the exclusive property of PartnerShare or its respective content providers and are protected by applicable copyright laws. All software used on the platform is owned by PartnerShare or its software suppliers and protected by copyright and related laws. Users must not upload or transmit any content infringing others’ copyrights or intellectual property rights.

All trademarks, service marks, and trade names (“Marks”) used in PartnerShare’s software or products are the exclusive property of PartnerShare. These Marks must not be used in connection with non-PartnerShare products or services, or in any way that may cause confusion or disparage PartnerShare’s reputation.

8. Confidentiality and Feedback

We value your privacy. Please refer to our Privacy Policy to understand our data practices. By using the website or services, you consent to all actions we take regarding your information as described in the Privacy Policy.

You agree to keep confidential any proprietary information learned from PartnerShare and not to disclose or use it beyond the scope of this Agreement. Any feedback, suggestions, ideas, or information you provide regarding PartnerShare software or services (including bug reports) shall become the sole property of PartnerShare. You hereby assign all rights, title, and interests, including intellectual property rights, in such feedback to PartnerShare and agree to assist in enforcing these rights.

9. Disclaimer

We recommend you regularly back up your data. You are solely responsible for mitigating losses. This software is not fault-tolerant and is not designed for use in hazardous environments requiring guaranteed safety performance. PartnerShare does not guarantee that the website or services will be error-free, uninterrupted, or free from harmful components. PartnerShare makes no representation regarding the accuracy, completeness, or usefulness of its services and provides no warranties that its use is lawful in your jurisdiction.

We are not involved in disputes between users or between users and third parties arising from the use of our services. By using our services, you release PartnerShare from any and all claims and demands related to such disputes. You bear all risks resulting from your use of PartnerShare and are solely responsible for any damages or losses you cause to any party.

Any person using, testing, or evaluating PartnerShare assumes full responsibility for its quality and performance. We disclaim all liability for damages arising from the use, performance, or delivery of PartnerShare, including direct or indirect losses, even if advised of the possibility of such damages.

Some jurisdictions do not allow limitations on incidental or consequential damages, so the above limitation may not apply to you. In all cases, our liability shall not exceed the purchase price you paid for PartnerShare.

10. Third-Party Services

Our services may contain links to other websites, applications, content, products, or services operated by unrelated third parties (“Third-Party Websites”). These links are provided solely for your convenience. Inclusion of such links does not imply any responsibility or endorsement by us of those third parties, their content, or services.

We do not control or monitor Third-Party Websites and are not responsible for their accuracy, completeness, or legal compliance. Your access to and use of such websites is at your own risk. You are responsible for reviewing the terms and privacy policies of any Third-Party Websites you visit.

11. Governing Law and Dispute Resolution

(1) If you are a citizen or legal entity of Mainland China, this Agreement and all disputes arising from or related to it shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any disputes shall first be resolved amicably through negotiation; failing that, either party may file a lawsuit in the People’s Court of Tianhe District, Guangzhou. The losing party shall bear all reasonable expenses incurred by the prevailing party, including attorney fees, litigation costs, notary fees, investigation fees, preservation fees, and travel expenses.

(2) If you are a citizen or legal entity established outside Mainland China, this Agreement and all disputes arising therefrom shall be governed by and construed in accordance with the laws of Singapore. Any disputes that cannot be resolved amicably shall be submitted to the Singapore International Arbitration Centre (“SIAC”) for arbitration in accordance with its then-effective rules. The seat of arbitration shall be Singapore, and the arbitration shall be conducted in English.
